Terms of Service

1. Acceptance of Terms

By creating an account or deploying a study, you agree to these Terms and our Privacy Policy. If using Lemma on behalf of an organization/firm/company or any such entity, you confirm authority to bind that organization/firm/company or that entity.

2. Account Responsibilities

You are responsible for:

• Maintaining account confidentiality
• Ensuring information accuracy
• All activity under your account

Notify us immediately of unauthorized use.

3. Payment & Billing

Subscription Fees

Subscriptions are billed on a recurring basis and will automatically renew at the end of each billing cycle unless cancelled prior to renewal. Basic platform features are available on Free tier. Access to advanced platform features requires a paid subscription through monthly or quarterly plans.

• Subscription fees are billed in advance.
• Automatically renew.
• Non-refundable.

Research/Study Deployment Fee

This is a separate fee from the subscription fee. It is calculated dynamically based on research complexity, including study type, audience targeting criteria, questionnaire structure, and other relevant factors. It is incurred upon deployment and is non-refundable. Drafting the research or a study is free and users are charged only when deploying a study.

All fees:

• Are exclusive of applicable taxes (e.g., GST)
• Are final once a study is deployed
• Are non-refundable after deployment

4. Intellectual Property

• Your Input: You retain ownership of all materials uploaded to Lemma.
• Your Output: You own the respondent data and analytical reports generated for your studies.
• Lemma Platform: Lemma retains ownership of its software, AI systems, methodologies, and analytical frameworks.
• Aggregated Data: You grant Lemma the right to use fully anonymized and aggregated data to improve the platform and create benchmarks. Such data will never identify you, your organization or your brand.

5. Confidentiality

Lemma will maintain strict confidentiality regarding your uploaded concepts and study materials. We may disclose materials only:

• To respondents as necessary to conduct the study
• To service providers under confidentiality agreements
• If legally required

6. Acceptable Use

You will not use Lemma to:

• Upload illegal or infringing content
• Conduct unlawful activities
• Reverse engineer or disrupt the platform
• Violate third-party rights

We may suspend or terminate accounts for violations.

7. Termination

Lemma may suspend or terminate your access if:

• You violate these Terms
• You engage in unlawful conduct or platform tampering including tampering the technical codebase to take unlawful advantage of Lemma’s features.
• You fail to pay applicable fees

Upon termination:

• Access to the platform will cease immediately.
• You may request an export of your analytical reports within 30 days of termination (subject to account standing).
• Data Erasure: To comply with data minimization principles, all personal data and uploaded study materials associated with your account will be permanently deleted 60 days after account termination, except where retention is strictly necessary for compliance with applicable Indian laws or to resolve ongoing legal disputes.

8. Service Availability and Disclaimer of Warranties

For users on paid subscription plans, Lemma strives to maintain a 99% platform uptime. However, the Service—including the predictive accuracy of the AI systems and analytical frameworks—is provided on an “AS IS” and “AS AVAILABLE” basis.

Lemma does not guarantee:

• Specific business outcomes.
• Predictive accuracy in real-world market conditions.
• Specific revenue results.

All business decisions based on Lemma’s reports are made strictly at your own risk.

9. Limitation of Liability

To the maximum extent permitted by law:

• Lemma shall not be liable for indirect, incidental, or consequential damages.
• In no event shall our total liability exceed the total amount paid by you to Lemma in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify Lemma against claims arising from:

• Your violation of these Terms
• Your uploaded materials
• Infringement of third-party rights

11. Force Majeure

Lemma shall not be liable for delays or failures caused by events beyond reasonable control, including but not limited to:

• Natural disasters
• Government actions
• Internet or hosting failures
• Third-party service interruptions
• War, strikes, or pandemics

12. Modification of Terms

We may update these Terms. Continued use after updates constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts in Chandigarh, India.
